Use of Information Services
This Information Service is provided by The ECU Group plc (“ECU”), a Public Limited Company with Company Number: 2296619, registered in England with Registered Office Address 20-22 Bedford Row, London WC1R 4JS. The ECU Group plc is authorised and regulated by the Financial Conduct Authority (FRN 153704).
Your right to access and use the Information Services, is subject to the terms and conditions of this Agreement, and your use of the Information Services indicates your acceptance of these terms and conditions. The Information Services are provided for the benefit of the "Subscriber" and are not to be used or otherwise relied on by any other person.
You acknowledge and agree that all copyright and other intellectual property rights relating to the Information Services, and all documents, information and materials provided to you as part of the Information Services ("Materials"), belong to ECU and its licensees. This agreement does not grant you any rights or interest in such copyright or intellectual property rights. Unless otherwise agreed in writing by ECU, you may use the Information Services only for your ordinary internal business purposes and may not reproduce, redistribute or copy, in whole or in part, the Materials for any purpose.
Neither the Materials, nor any copy or part thereof, may be distributed in any other jurisdictions where its distribution may be restricted by law and persons into whose possession the material comes should inform themselves about, and observe, any such restrictions. ECU expressly reserves all rights in connection with its intellectual property, including without limitation the right to block the transfer of its products and services and/or to track usage thereof, through electronic tracking technology, and all other lawful means, now known or hereafter devised. ECU reserves the right, without further notice, to pursue to the fullest extent allowed by the law, any and all criminal and civil remedies for the violation of its rights.
The information and opinions provided in our Information Services is for sophisticated professional investors who will exercise their own judgment and will independently evaluate factors bearing on the suitability of any investment or trading strategy, and furthermore take no account of investor's individual circumstances and so should not be taken as specific advice on the merits of any investment decision.
ECU has taken all reasonable care to ensure that the information provided by the Information Services is accurate at the time of publication, and to the fullest extent allowed by the law, excludes any other representation or warranty, express or implied, in relation to the accuracy, reliability or completeness of such information.
To the fullest extent allowed by the law, ECU, its affiliates, shareholders, directors, officers, and employees shall have no liability, contingent or otherwise, for any claims or damages arising in connection with:
(i) the use by Subscriber of the Information Services and the Materials; and/or
(ii) any errors, omissions or inaccuracies in the Information Services and the Materials.
ECU shall not be liable to you for any delay or failure to provide the information services as a result of circumstances beyond our reasonable control including, without limitation, acts of God, unavailability of systems or networks and changes in law or regulation.
Nothing in this agreement excludes any liability which cannot be excluded by law.
This note is provided in accordance with Section 54 (1) of The Financial Services and Markets Act 2000 (Regulated Activities) Order 2001, which provides that the giving of advice in this way, as envisaged under this Agreement, is neither that of:
(a) the regulated activity of giving advice; nor
(b) leading or enabling persons to buy, sell, subscribe for or underwrite securities or contractually based investments.

Term/Renewal

The Information Services shall be provided during the term set out above ("Term") and for any renewal period agreed between the parties. If this Agreement is not renewed by the expiry of the Term and ECU elects to continue to provide the Information Services, this Agreement shall continue to apply on a month to month basis under a pro-rata computation of the Fixed Subscription Payment set out above.
To ensure the uninterrupted delivery of the Information Services after the expiry of the Term, the Subscriber would renew the Agreement at least 60 days prior to its expiration.
Either party may terminate this Agreement with immediate effect on written notice to the other party ("defaulting party") if the defaulting party is in material breach of its obligations under this Agreement, and where such breach is remediable, the defaulting party has failed to cure any such breach within thirty (30) days after the defaulting party’s receipt of written notice specifying the default.
Fees

The Fixed Subscription Payment is payable in monthly or annual installments and is non-refundable.
The Subscriber shall pay each instalment of the Fixed Subscription Payment within 30 days of receipt of the invoice.
